Trademark Licence Agreement
This Trademark Licence agreement template is used to create a trademark licence. If you are selling a trademark rather than licensing then you need to use the Trademark Assignment template instead.
If you own a trademark it is essential that you protect its value by only allowing third parties to use the trademark under the terms of a written licence agreement. If no written licence is put in place then you expose yourself to the risk that an implied licence can come about as a result of the third party's continued use. The uncertainty over the terms that a court will imply into such a licence makes this very risky for the trademark owner. Such risk can be avoided by putting in place a Trademark Licence Agreement that sets out the extent of the rights that you are prepared to grant to the licensee over your trade mark.
Using Our Trademark Licence Agreement
Our template document has been carefully created so ensure it not only reliably protects your trademark rights but also can be easily customised and completed. It is possible to license the use of a trademark for a specific purpose and period of time or on a general basis to cover all purposes for the duration of the trademark. With this Trademark Licence Agreement template you have complete flexibility to choose the basis on which the trademark is to be licensed. You can customise a number of aspects such as the licence fee that will be payable for the use of the trademark. Once both parties have signed the Trademark Licence Agreement it should be registered at the Intellectual Property Office ("IPO"). This is done using form TM50, a copy of which is available on the IPO's Trademark Forms page.
