One Way Non Disclosure Agreement
Although there are laws to provide recourse for breaches of confidence, it is essential to set out what is confidential information and to draw this to the attention of anyone that will have access to it. It is easier to set out any obligations for confidentiality that you wish to impose in a contractual agreement so that if the terms of the contract are broken, you can easily bring an action for breach of contract.
The One Way Non Disclosure Agreement or Confidentiality Agreement as it is sometimes known, allows a business to share information and ideas with specific people safe in the knowledge that it will not be passed on or exploited by them without permission. The recipents of such information could include the business' employees, partners, manufacturers, designers, prospective clients, advisers or suppliers.
Another reason for having such an agreement in place is to ensure that the business is complying with its requirements under the Data Protection Act of 1988. If the business holds personal data about its employees or third parties, such as marketing details, that it will be disclosing to a different third party, it must take steps to ensure that that data is disclosed subject to strict prohibitions on its use or further disclosure to anyone else.

You should always plan exactly what information you need to disclose before you prepare the document. This is so that all of the disclosed information can be defined and included in the Agreement and so that you do not find yourself disclosing more information than is necessary, therefore reducing as far as possible, the risk of a leak.
Clauses in the One Way Non Disclosure Agreement
The provisions in the One Way Non Disclosure Agreement are designed to protect only the one party who is disclosing the information. However, they also deal with instances where disclosure will not entail liability for the recipient, such as when the information is already in the public domain or has been gained legally from another source. So the agreement can provide clarification and security for both parties.
