One Way Confidentiality Agreement
Our One Way Confidentiality Agreement is for use when only one party is disclosing confidential information to the other, for example to gain the other's interest in a product or idea.
Although the agreement is only four pages long to ensure that the recipient is not put off by being given an overly long document to read, in certain situations you may decide that our Confidentiality Letter is more appropriate. This shortened version of our One Way Confidentiality Agreement is more often preferred for simple, one off disclosures or when it is unlikely that the recipient wil sign a full agreement. For example, our Confidentiality Letter would suit the situation where an inventor is writing speculatively to a company about his/her idea for a product to be developed. This is because large manufacturing companies are frequently approached in this way and so would be more likely to agree to an easy to understand, short legal document.
If you require a legal agreement to cover circumstances where each party will be disclosing confidential information to the other, a Reciprocal Confidentiality Agreement can be used. The Reciprocal Confidentiality Agreement contains a small number of additional clauses to reflect the fact that both parties will both exchange information with each other.

Clauses in the One Way Confidentiality Agreement
The One Way Confidentiality Agreement is drafted in favour of one party to the agreement as it assumes that only that party will be disclosing confidential information to the other.
Associated Documents
Our less intimidating, Non Diclosure Letter can be a good way to lead up to implementation of the full One Way Confidentiality Agreement. As stated, we also offer a Reciprocal Confidentiality Agreement for use when you will also be receiving confidential information in the course of the arrangement.
