Confidentiality Letter
A Confidentiality Letter is used when a party who will be disclosing confidential information is concerned that the recipient may be unwilling to sign a longer Confidentiality Agreement.
The ideal arrangement will be for both parties to sign a Confidentiality Agreement. The agreement is a four page document that is very specific in detailing the nature of the confidential information and how it may be used and disclosed. However, this document can be intimidating for the other party or unnecessary in some situations, for example where limited information is being disclosed in a one-off situation. In these instances, a Confidentiality Letter may be more appropriate.
The Confidentiality Letter is simple and short. It asks the party receiving the confidential information to keep such information confidential and to not disclose the information to anyone else.
The Confidentiality Letter template is suitable for individuals or businesses disclosing information relating to a business idea or invention to a third party involved in the project. Most often, the recipient of the information is more likely to agree to a Confidentiality Letter than they are to a Confidentiality Agreement. Also, after the Confidentiality Letter has been agreed to, a more comprehensive Confidentiality Agreement can be put in place.
