Background Confidentiality Information
A confidentiality agreement is a legally binding contract entered into between at least two parties in order to restrict the ability of the parties to use information that has been provided by the parties to each other.
In the course of conducting business many situations will arise where it becomes necessary to share confidential of sensitive information with another person or business. Sharing any confidential information usually requires that each party has a lot of trust in the other.
With business arrangements the circumstances are often such that there is not the time or opportunity to establish that trust. For this reason it is common for businesses to put in place a confidentiality agreement. These agreements regulate and set out the rights of each party in relation to the confidential information that has been disclosed.
The agreement will outline the reason behind the disclosure of confidential information and how they expect the recipient of confidential information to use the information.
