Confidentiality Agreement Template

A confidentiality agreement is a legal contract entered into between at least two parties, and often more with the intention of restricting the ability of the parties to use information that has been provided to them by the disclosing party. The agreement regulates and sets out the rights that each party in relation to the confidential information. The agreement will outline the reason that the parties are entering into the contract and how they expect the recipient of confidential information to use it.

The Solicitors on our legal panel have created a range of confidentiality agreements to cover a wide variety of confidentiality situations. If just one party will be disclosing confidential information then we suggest that you use our one way confidentiality agreement. This agreement assumes that only one party to the agreement will be disclosing confidential information and imposes restrictions on their use of the confidential information. For situations where both parties will be exchanging confidential information then you should use our reciprocal confidentiality agreement. We recognise that the variety of situations that a party may possibly require a confidentiality agreement for are very broad. For this reason both of these confidentiality agreements can be easily customised.

Non Disclosure Confidentiality Agreement

All of our confidentiality agreements set out to prevent the unauthorised disclosure of information. Our confidentiality agreements are available in template form and once purchased can be amended and re used as many times as you require. 

Putting in place a confidentiality agreement where confidential information is to be exchanged is essential as in the United Kingdom there is no law of confidentiality which would otherwise protect the disclosure of confidential information. This means that simply disclosing or telling someone about an idea that you consider a secret does not mean that they are required to keep that information to themselves or, only use it with your permission. The only way to keep confidential information confidential is with the use of contract law by putting in place an agreement that contractually creates the obligations of confidentiality in the form of a confidentiality agreement.
