Business information is a valuable asset. Often it is comprises trade secrets and other confidential and personal information. However, certain types of business arragement require such information to be disclosed to another party so that the other party can carry out a particular task or operation.
A confidentiality agreement is a legal contract entered into between at least two parties in order to restrict the ability of the parties to use information that has been provided by each other. Confidentiality agreements regulate and set out the rights of each party in relation to the confidential information that has been disclosed. The agreement will outline the reason behind the parties are entering into the contract and how they expect the recipient of confidential information to use the information. Putting in place a confidentiality agreement where confidential information is to be exchanged is essential as in the United Kingdom there is no law of confidentiality which would otherwise protect the disclosure of confidential information. This means that simply disclosing or telling someone about an idea that you consider a secret does not mean that they are required to keep that information confidential or only use it with your permission.
