Marketing Agency Agreement Template
A Marketing Agency Agreement is a legally binding document for use when you want to appoint a marketing agent to market your products or services on your behalf but not to enter into and conclude contracts of sales for you. The agreement will regulate and record the relationship between your business and the marketing agent appointed. If you require an agreement suitable for a sales agent, please see our Agency Agreement template.
Marketing agency agreements can be exclusive or non exclusive, though typically agents prefer exclusive agreements to ensure that there will not be any competition from other appointed agents. Marketing agency agreements are set up for commissioned work and agents will normally be paid commission based on the number of customers they bring to the business.
Using the Marketing Agency Agreement Template
Our Marketing Agency Agreement has been drafted by our in-house team of Solicitors to ensure that it is accurate and legally binding. Clauses in the Marketing Agency Agreement Template
The Marketing Agency Agreement Template contains clauses to regulate the rights and duties of the agent and principal. As the Commercial Agents (Council Directive) Regulations 1993 do not apply to marketing only agency relationships, where the agent does not have authority to conduct sales on behalf of the principal business, the provisions differ from those in the sales Agency Agreement, according to the different legal requirements.
Associated Documents
We also have an Agency Agreement for use with sales agents and a Distribution Agreement in our Commercial Documents section. Although the Marketing Agency Agreement will contain clauses relating to confidentiality, you may wish to also have a separate, comprehensive Non Disclosure Agreement in place to protect your business' confidential information when appointing an agent.
