Sales Agency Agreement
Our standard Agency Agreement is used to appoint a sales agent for the marketing and sale of your products or services. The individual or company appointed will be your Sales Agent with authority to complete sales of your products or services. If you do not want the agent to complete sales but instead to just make introductions to potential customers then you should use the Marketing Agency Agreement instead as this does not confer authority on the agent to complete sales.
There are different types of agency appointment. The difference between an 'exclusive agency' appointment and a 'non exclusive' agency appointment is that under an 'exclusive agency' you are agreeing with the agent that you will not appoint any other agents in the designated Territory and that you will not yourself directly market to or sell your products or services directly to customers in the Territory granted to the agent. Under a non exclusive agency, you are entitled to sell your products into the Territory directly and also to appoint other non exclusive agents within the designated Territory. There does exist a third and final type of agency appointment which is the 'sole agency' agreement. Under a sole agency agreement you agree not to appoint other agents within the Territory but reserve the right to market and sell directly in that Territory yourself.
